Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Zoaybu® Projector website, including any content, products, and services offered on or through zoaybu.shop (the “Site”). The Terms constitute a legally binding agreement between you and Zoaybu® Projector.

Please read the Terms carefully before using the Site. By accessing or using the Site, you confirm your acceptance of the Terms and agree to be bound by them. If you don’t agree with the Terms, you may not access or use the Site.

Your Account

If you use the Site, you are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

You must be at least 18 years old or have parental consent to open an account and place orders on the Site. We reserve the right to refuse service, cancel orders, terminate accounts, or remove or edit content at our sole discretion.

Using the Site

Subject to your compliance with these Terms, Zoaybu® Projector grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal use.

You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials or content on the Site, except as follows:

• Your computer or device may temporarily store copies of materials in memory incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use.

You agree not to:

• Use the Site for any illegal or unauthorized purpose.
• Access, tamper with, or use non-public areas of the Site.
• Attempt to interfere with or impair the proper working of the Site.
• Impose an unreasonable or disproportionately large load on the Site infrastructure.
• Circumvent any measures used to prevent or restrict access to the Site.

The Site contains content owned or licensed by Zoaybu® Projector, including but not limited to text, software, photos, videos, graphics, music, sounds, and other material. We grant you the limited right to access and use the Site subject to these Terms, provided that you must not copy, distribute, modify, reproduce, publicly display, publicly perform, republish, download, store, or transmit any material for any commercial purposes.

User Content

The Site may permit you to submit your own content for contests, blogs, videos, and other functions. You retain ownership of any intellectual property rights that you hold in this user-generated content.

You agree not to submit content unless you have the right to submit it and it does not violate any law. We may remove your content at our discretion. By uploading content, you grant us a non-exclusive, royalty-free, perpetual license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, publish, and perform the content in connection with the Site’s operations.

Purchases and Payments

If you wish to purchase any products or services made available through the Site (“Purchase”), you may be asked to supply certain information including your credit or debit card number, expiration date, CVC code, and billing address.

By submitting an order, you represent and warrant that:

• You are authorized to use the designated payment method.
• The information you supply is true, accurate, current, and complete.

Taxes. You are responsible for paying all taxes associated with your Purchases. We may collect applicable sales tax depending on your location.

Shipping. We will calculate shipping costs and provide you with shipping options during checkout based on your location. Title and risk of loss pass to you upon our transfer of the products to the carrier.

Pricing. All prices posted on the Site are subject to change without notice. Price changes will not affect any Purchases you have already made. However, promotional offers are only valid during the time posted.

Availability. We try to maintain accurate inventory on the Site. However, we do not guarantee product availability or inventory levels. Products may sell out quickly. We reserve the right to discontinue products at any time without notice.

Errors. We make every effort to provide accurate product and pricing information, but errors may occur. If we discover an error made in connection with your order, we will promptly correct it. However, you must notify us within 14 days of any pricing, typographical, or product information errors on your Purchase receipt for a credit or refund.

Refunds. Generally, there are no refunds for Purchases. However, if your product arrives defective or damaged, please contact us within 14 days with photos for a refund or exchange. Custom or personalized orders cannot be returned.

Cancellations. You may cancel unshipped orders within 24 hours of Purchase for a full refund. Cancelled orders cannot be reinstated.

Prohibited Conduct

You agree not to:

• Use the Site for any illegal purpose or in violation of any local, state, national, or international law.
• Violate the rights of Zoaybu® Projector or any third party, including intellectual property, privacy, publicity or other proprietary rights.
• Upload, post, email, transmit, store, or otherwise make available any material that contains viruses or any other computer code, files, or programs designed to harm, interfere with or limit the normal operation of the Site.
• Post, upload, publish, submit, or transmit any false, inaccurate, incomplete, or misleading information.
• Create a false identity or impersonate another person.
• Use the account, username, or password of another user.
• Solicit personal information from minors or share child pornography or sexually explicit content featuring minors.
• Transmit spam, chain letters, or other unsolicited communications.
• Extract, harvest, compile or use information about other users.

We have the right to terminate your access and use of the Site at our discretion if you fail to comply with any provision within these Terms.

Intellectual Property Rights

The Site and all materials included on the Site, including but not limited to text, graphics, logos, images, compilation, magnetic translations, digital conversions, and software, are the property of Zoaybu® Projector and are protected by US and international copyright laws.

Zoaybu® Projector grants you a limited, personal, non-exclusive, non-transferable license to access and use the Site for personal use only. You agree not to reproduce, distribute, modify, create derivative works, publicly display, or republish any content from the Site without express written permission. The Zoaybu® Projector name and logo are trademarks of Zoaybu® Projector and may not be copied or used without permission. Any rights not expressly granted by these Terms are reserved.

If you believe that any of the Site content infringes upon any copyright you own or control, you may submit a notification to Zoaybu® Projector pursuant to the Digital Millennium Copyright Act by providing our Copyright Agent with the following information:

1. A physical or electronic signature of the owner, or someone authorized on the owner’s behalf, of the copyrighted work claimed to have been infringed.
2. Identification of the copyrighted work claimed to have been infringed.
3. Your contact information including full name, email address, and telephone number.
4. A statement explaining in good faith the basis for your copyright infringement claim.
5. A statement made under penalty of perjury that the information provided in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Disclaimer of Warranties

Your use of the Site is at your sole risk. The Site is provided “as is” and “as available” without warranties of any kind.

No advice or information obtained from Zoaybu® Projector or through the Site shall create a warranty not expressly provided in these Terms.

Zoaybu® Projector disclaims any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. No advice or information obtained by you from us through the Site shall create any warranty not expressly stated in the Terms.

We do not warrant that the Site is accurate, complete, reliable, current, error-free, or free of viruses or other harmful components. You assume the entire risk as to the quality, safety, performance, and accuracy of the Site.

Limitation of Liability

Zoaybu® Projector, its directors, employees, partners, agents, contractors, or licensors shall not be liable for any direct, indirect, incidental, consequential, special, punitive damages, or any other damages arising out of:

• Your access, use, or inability to access or use the Site or any errors or defects in the Site.
• Any transaction or relationship between you and any third party provider, even if we contract with or recommend that third party.
• The unauthorized access, use, theft, destruction, or alteration of your content or information.
• Any other matter relating to the Site or any related products or services.

These limitations apply regardless of the nature of the cause of action or legal theory and will survive termination of these Terms.

Total liability for all claims regarding the Site shall not exceed $100.

Indemnification

You agree to defend, indemnify, and hold harmless Zoaybu® Projector and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:

• Your misuse of the Site or breach of these Terms;
• Any content or information you submit, post, email, transmit, upload, or otherwise make available on the Site;
• Your violation of any applicable laws or third party rights.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree not to settle any such claim or action without our prior written consent. We will use reasonable efforts to notify you of any claim subject to indemnification.

License

Zoaybu® Projector grants you a limited, revocable, non-exclusive, non-transferable license to access the Site conditioned on your continued acceptance of and compliance with these Terms.

Zoaybu® Projector may suspend or terminate this license at any time if you use the Site in breach of these Terms. Upon termination, you must immediately discontinue use of the Site and destroy all materials obtained from the Site and all related documentation.

Modification

We reserve the right to modify these Terms by publishing the changes on the Site. Your continued use of the Site after changes become effective shall constitute your binding acceptance. Please check the Terms periodically for updates.

Assignment

You may not assign, delegate or transfer these Terms or your rights or obligations to any third party without our prior written consent. Zoaybu® Projector may freely assign these Terms.

Dispute Resolution & Governing Law

You agree that the laws of the state of Tennessee, without regard to principles of conflicts of laws, govern these Terms. Any dispute between you and Zoaybu® Projector regarding the Site or these Terms will be resolved in state or federal court in Nashville, Tennessee. You consent to personal jurisdiction and waive any claims that this forum is inconvenient.

The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any action to enforce these Terms must be brought within one year from the date when the cause of action arose.

Severability

If any provision of these Terms is deemed unlawful, invalid, or unenforceable, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions.

Entire Agreement

These Terms constitute the entire agreement between you and Zoaybu® Projector relating to their subject matter and replace any prior or contemporaneous agreements on that subject matter.

The section headings are for convenience only and have no legal or contractual effect.
